Wardwizard Healthcare Independent Director Dharmendra Bhaliya Resigns

Wardwizard Healthcare Limited formerly known as Ayoki Merchantile Limited, has announced the resignation of Dharmendra Bhaliya from the position of Non-Executive Independent Director on the company’s Board, effective April 11, 2025.

Along with stepping down as Independent Director, Bhaliya also relinquished his Chairmanship and Membership in various Board Committees. The company has confirmed that there are no material reasons for the resignation beyond those cited in his formal communication.

As per disclosures in line with SEBI Circulars dated November 11, 2024, and December 31, 2024, Mr. Bhaliya currently holds no directorships in any other listed companies. The required confirmation regarding the absence of additional material reasons for resignation has also been submitted.

The company informed BSE in a regulatory filing made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The resignation was attributed to Bhaliya’s ongoing professional assignments and personal commitments, as outlined in his resignation letter dated April 11, 2025.

In his resignation letter addressed to the company’s board of directors, Bhaliya cited “certain assignments and personal commitments” as reasons for the resignation. He also thanked the board for its support during his tenure.
